STATUTE

Article 1 A Foundation has been created with the name of ArteXArte Visual Communications for will and initiative of the following people:

1) Ricca Maria Beatrice
2) Trevisan Paola
3) Grimaldi Valerio
4) Ricca Anna

Article 2 - The Foundation is registered in Milan and it’s sited in Milan, Via Giorgio De Chirico 6.

Article 3 - The Foundation aim will be carrying out initiatives of important artistic and cultural interest like the study, the search and the documentation activity turned to promote and to cultivate the culture and the civic sense with particular prominence to the pictorial, the figurative, the poetic, the literary, the photographic, the theatrical and the musical art, to the production of audiovisuals thanks to initiatives and manifestations in the art fields and also through the use of multimedia and interactive products on digital and analogical supports, maintenance, protection or restoration of valuable goods, through carrying out initiatives and manifestations in the art and in the Collecting fields.
In a subsidiary way the Foundation shall:
-Organize stages, training courses and alternative forms of trainings in the art matters, for the cultural growth of the artists, in collaboration and cooperation with other associations, Corporations and Societies, both national and international.
-Promote and organize meetings, seminaries, exhibitions and any kind of collateral activities directed to buy, to maintain, to protect or to restore valuable goods together with the accomplishment of initiatives and manifestations for the cultural exchange with different countries.

Article 4 – The patrimony of the constituted Foundation is constitute from:
-assets conferred from the Founders as it turns out from the constituted deed;
-such patrimony will be able to be increased by inheritance connected by donations with such detailed destination and by any other income destined to that purpose for deliberation of the Council of the Foundation;
-The deductible incomes of the equipment and each entrance not destined in its increase, comprised the publics or private contributions and the proceeds from initiatives promoted by the Foundation, constitute the means for the development of the institutional activities of the Foundation.

Article 5 - The Foundation bodies are:
-The Council of Foundation
-The President
-The Art Director
-The Secretary
-The not life Councillors

Article 6 - The Foundation is ruled by a council of Foundation formed by a variable number of members from a minimum of three to a maximum of seven; these members continue in office for three years except for the life members as following

-Trevisan Paola as Vice-president
-Grimaldi Valerio as Artistic Director
-Ricca Anna as secretary

In case of renunciation or death of the President, the Vice-president assumes the position of the President and the life artistic Director becomes Vice-president, office that this last one assumes also in case of Vice president predecease; the replaced President and/or Vice-president acquire all the powers reserved to the original President or Vice-president; in case of renunciation or death of the President and Vice-president, not being able to refer at the automatic substitution (as above), the Council comes completed, for co-optation by the life member/s with other two life Councillors who have to be chosen among immediate descendants, that means the collateral relatives next to the defunct.
The not life Councillors, to be chosen amongst artists or personages of proven ability and of adequate cultural preparation, last in office for three years and are re-electable; their nomination or annulment or substitution always comes with a deliberation of the Council of Foundation. The not life Councillors anyway loose their right of assignment in the case, during the solar year, they don’t cure and produce at least one manifestation under their aegis and the mark of the Foundation. In the case one of these deliberations doesn’t form the majority of the favourable votes, then prevails the vote of the President.
On proposal of the President or of the Vice-president the same Council can always deliberate the enlargement or the reduction of the number of its members, however in the minimums and maximums limits statutorily previewed.
The cessation of a Councilman caused by the impossibility to practise the mandate, or by the resignation or by annulment has effect from the moment of the successor’s nomination.
The office of Councillors is free, except for a refund of expenses made for the discharge of their mandate.

Article 7 - The President legally represents the Foundation in front to thirds and in judgment, for each and whichever action or operation of ordinary and extraordinary management, and she/he can name proxies ad negozia for single actions or categories of actions.
Besides the President shall:
-convene the board of directors;
-Deliberate on matters on the agenda;
-Deliberate on procedural matters;
-supplies to the execution of the deliberations of the Council;
-sign the actions and how much is necessary for the explication of all the transactions that are deliberated;
-oversee the good administrative course of the Foundation;
-cure the observance of the statute and promote its reform in the case this becoming necessary;
-adopt in case of urgency any opportune provision reporting in the shortest time to the Council.
The Vice-president replaces the President in its functions for delegation of this last one, that’s in case of absence or impediment.

Article 10 - The Council is convened from the President with containing warning the order of the day and sent with letter registered letter A.R., that is by means of telefax or e-mail, at least two days before. For the validity of the deliberations of the Council of Foundation the effective presence of the majority of its is demanded members in loads. The deliberations are taken to absolute majority of ballots of the present ones. In case of parity of ballots the decision that has the ballot of the President or, in its absence or impediment prevails, of Vice-president. Of the board meetings of Foundation it is written up oral, transcribed in appropriate book and signed from the President.
